Terms of Service

These Terms of Service ("Terms") govern your access to and use of Agency AI's platform and services ("Service"), provided by Agency AI, LLC ("Agency AI", "we", "us", or "our"). By installing or using the Service, you agree to these Terms.

Eligibility

You must be at least 18 years old and have the legal authority to enter into these Terms on behalf of yourself or your business. By using the Service, you represent that you meet these requirements.

Description of Service

Agency AI is a marketing automation platform for Shopify merchants. We help you create, manage, and optimize paid advertising campaigns across Meta, Google, and other third-party platforms on your behalf using AI-driven recommendations and automation.

Account Responsibilities

You are responsible for:

• Maintaining the confidentiality of your account credentials
• All activities that occur under your account
• Ensuring your use of the Service complies with applicable laws and platform policies (including Meta and Google advertising policies)
• Providing accurate and complete information when connecting your accounts

Acceptable Use

You agree not to use the Service to:

• Violate any applicable law or regulation
• Infringe any third-party intellectual property or privacy rights
• Transmit spam, malware, or other harmful content
• Attempt to reverse-engineer, decompile, or extract source code from the Service
• Use the Service in a manner that could damage, disable, or impair our infrastructure

Fees and Payment

Subscription fees are billed through the Shopify Billing API. By subscribing, you authorize Shopify to charge your account per the plan you selected. Ad spend is billed directly by the respective advertising platforms (Meta, Google, etc.) and is separate from Agency AI subscription fees.

Intellectual Property

Agency AI and its licensors retain all rights, title, and interest in the Service, including all software, algorithms, and content we provide. Your use of the Service does not grant you any ownership rights. You retain ownership of all content and data you provide to us.

Third-Party Services

The Service integrates with third-party platforms such as Shopify, Meta, and Google. Your use of those platforms is governed by their respective terms and policies. Agency AI is not responsible for the availability, accuracy, or conduct of any third-party service.

Disclaimer of Warranties

The Service is provided "as is" and "as available" without warranties of any kind, express or implied. We do not warrant that the Service will be uninterrupted, error-free, or that results from advertising campaigns will meet your expectations.

Limitation of Liability

To the maximum extent permitted by law, Agency AI shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Service. Our total aggregate liability shall not exceed the fees paid by you to Agency AI in the three months preceding the claim.

Termination

Either party may terminate these Terms at any time by uninstalling the app or canceling the subscription. Upon termination, your right to use the Service ceases immediately. We may also suspend or terminate your access if you violate these Terms.

Changes to These Terms

We may update these Terms periodically. We will notify you of material changes by updating the "Last updated" date. Continued use of the Service after changes constitutes acceptance of the revised Terms.

Governing Law

These Terms are governed by the laws of the State of Wyoming, without regard to conflict of law principles. Any disputes shall be resolved exclusively in the courts of Wyoming.
